Motivoro – Terms of Service & Privacy Policy Last updated: 27 June 2025 Important – please read carefully. These Terms of Service ("Terms") set out the legal agreement between you ("you", "your", "Customer") and Motivoro Limited ("Motivoro", "we", "us", "our"), a company incorporated in England and Wales (company no. [●]) whose registered office is at [●] (6 Beechnut Industrial Estate, Aldershot, GU12 4JA.). Our Privacy Policy explains how we collect and use your personal information. By accessing or using our website (the "Site") or any products, SaaS platforms, applications, APIs, content or services that link to these Terms (together the "Services"), you agree to be bound by both documents.

Part A – Terms of Service 1. Definitions Term Meaning Account The secure profile created by you in order to access certain Services. Business Day 09:00–17:00 Monday to Friday (UK time), excluding English public holidays. Content Any text, images, data, code, audio, video, or other materials uploaded, posted or otherwise transmitted via the Services. Intellectual Property Rights All patents, trade marks, service marks, registered designs, design rights, copyright, database rights, trade secrets, know‑how and all other intellectual property rights, in each case whether registered or unregistered, and including all applications and rights to apply. 2. Acceptance of Terms By using the Services you confirm that you are at least 18 years old (or have consent from a parent or guardian), have capacity to enter into a contract, and will comply with these Terms. If you do not agree, you must not use the Services. 3. Changes to Terms or Services We may amend these Terms and/or the Services at any time. Any changes will take effect when posted on the Site. Continued use after changes are posted constitutes acceptance. 4. Registration & Account Security ● Provide accurate information during sign‑up and keep it up to date. ● Keep your Account credentials confidential. ● Notify us immediately at [email protected] if you suspect unauthorised use. 5. Services & Licence Subject to payment of applicable fees (see clause 6) we grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Services for your internal business purposes. You must not: (a) copy, modify, create derivative works of, reverse engineer or decompile any part of the Services; (b) resell or sub‑license the Services to a third party. 6. Fees & Payment ● Prices are shown exclusive of VAT unless stated otherwise. ● Subscriptions renew automatically at the end of each billing period unless cancelled. ● Payment failures may result in suspension of access. 7. Acceptable Use You must not use the Services to: 1. Violate any applicable law or regulation; 2. Infringe Intellectual Property Rights or privacy rights of others; 3. Upload malicious code or attempt to gain unauthorised access to systems; 4. Transmit defamatory, obscene or otherwise unlawful Content. We reserve the right to remove Content or suspend Accounts that breach this clause. 8. Intellectual Property All Intellectual Property Rights in the Services (excluding Customer Content) belong to Motivoro or its licensors. Using the Services does not grant you ownership of any such rights. 9. Confidentiality Each party shall keep in strict confidence any confidential information disclosed by the other party and use it solely for performance of these Terms, except as required by law. 10. Part B – Privacy Policy and the UK GDPR and Data Protection Act 2018. Where we act as data processor on your behalf, the Data Processing Addendum ("DPA") available at motivoro.com/dpa forms part of these Terms. 11. Third‑Party Services & Links The Services may interoperate with, or contain links to, third‑party sites or services. We are not responsible for third‑party content or practices and you use them at your own risk. 12. Disclaimer of Warranties The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non‑infringement. 13. Limitation of Liability ● Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited. ● Subject to the above, Motivoro shall not be liable for: (a) loss of profits; (b) loss of revenue; (c) loss of business or opportunity; (d) corruption of data; or (e) indirect or consequential loss. ● Motivoro’s total aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim. 14. Indemnity You agree to indemnify and hold harmless Motivoro from any claims, losses and expenses (including legal fees) arising out of your breach of these Terms or misuse of the Services. 15. Termination We may suspend or terminate your access with immediate effect if you violate these Terms or fail to pay fees. Upon termination, all licences granted to you cease. 16. Force Majeure Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, war, pandemic, or Internet outages. 17. Notices Notices under these Terms must be in writing and sent by email to [email protected] (for Motivoro) or to the email address associated with your Account. 18. Entire Agreement & Severability These Terms (including any referenced policies and the DPA) constitute the entire agreement. If any provision is held unenforceable, the remaining provisions remain in full force. 19. Governing Law & Jurisdiction These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to resolve any disputes.
